The share capital increase by an amount € 1.774 million which was made public on June 27, 2021 (the “Rights Issue”) in Cybersecurity 1 AB (publ) (“Cyber ​​1” or the “Company”) was heavily oversubscribed. The subscription period ended on July 19, 2021. The capital increase was subscribed for up to 259%, of which approximately 94% were subscribed with unit rights and approximately 165% were subscribed without unit rights. Consequently, the subscription commitments will not be used. By issuing rights, the Company obtains approximately € 1.774 million before issuance costs.

The allocation of units subscribed without right to units was made in accordance with the terms of the Capital Increase which are specified in the investment note. Notification of this allocation will be communicated separately by registered payment note. Nominee shareholders of record will receive notice of the award in accordance with the instructions of the respective Trustees.

Through the Capital Increase, the number of Cyber ​​1 shares will increase by 174,445,113 shares, from 348,890,226 shares to 523,335,339 shares, and the share capital will increase by 45,704.619606 EUR, of € 91,308.621395 To € 137,013.24,100. The Capital Increase results in a dilution of approximately 33.3% for the shareholders who did not participate in the Capital Increase.

The series 2021 warrants that were issued as part of the capital increase allow their holder to subscribe to one (1) new share of the Company for each (1) warrants held, during the period to counting from and including July 25, 2022 to and including August 8, 2022 against cash payment of € 0.01 per share. In the event that the warrants are fully exercised, the Company will receive additional issue proceeds of approximately € 1.774 million before issuance costs

The warrants are intended to be admitted to trading on Nasdaq First North after the rights issue has been registered with the Swedish company registration office.
